Terms for using SmartMaya websites, product accounts, AI tools, education services, implementation services, and related WiselyWise services.
Scope
These Terms of Use apply to SmartMaya websites, product accounts, AI tools, learning services, education services, implementation services, partner license resale, partner links, affiliate links, digital products, workshops, resources, and related WiselyWise services where these Terms are referenced.
References to users include account holders, visitors, customer administrators, employees, contractors, consultants, trainers, implementation partners, resellers, affiliates, vendors, invited users, and representatives who access SmartMaya or use SmartMaya for internal or external WiselyWise, customer, school, or partner duties.
SmartMaya is a WiselyWise product owned and operated by WiselyWise Pte. Ltd., Singapore.
Agreement
By accessing or using SmartMaya or related WiselyWise services, you agree to these Terms, the applicable order, checkout terms, invoice, statement of work, subscription plan, classroom or program terms, Acceptable Use Policy, Service Level Notice, Privacy Notice, AI Content Disclaimer, and any signed agreement that applies to your use.
If a signed agreement, order form, or statement of work states different terms, that document controls for the covered services. If there is a conflict, the order of precedence is: signed agreement or order, statement of work, these Terms, then referenced policy documents, unless the applicable document states otherwise.
These Terms, together with incorporated documents, form the agreement between you and WiselyWise for the relevant services. No purchase order or similar customer document changes these Terms unless WiselyWise expressly agrees in writing.
Dispute escalation and governing law
If a dispute arises, the parties should first try to resolve it in good faith by written notice to [email protected] and reasonable business-level escalation.
If the dispute is not resolved within a reasonable period, the parties may attempt mediation in Singapore through the Singapore Mediation Centre or another mutually agreed mediator before starting court proceedings, unless urgent action is needed for non-payment, confidentiality breach, intellectual property misuse, platform abuse, security risk, data protection issue, authority request, access restriction, or injunctive relief.
Unless a signed customer agreement states otherwise, these Terms are governed by Singapore law. Disputes relating to these Terms must be brought in Singapore, and the parties consent to Singapore jurisdiction.
Nothing in these Terms limits non-waivable statutory, consumer, education, privacy, or data-protection rights that apply under applicable law.
Accounts and authorized users
You must provide accurate, current, and complete account, billing, workspace, school, organization, and contact information.
You are responsible for maintaining the confidentiality of passwords, API keys, login methods, devices, and other credentials. You are responsible for activity under your account, workspace, classroom, organization, or authorized-user access.
If you use SmartMaya on behalf of an organization, school, business, customer, or other entity, you represent that you have authority to bind that entity.
You must promptly notify WiselyWise of unauthorized access or credential misuse by emailing [email protected] or using the applicable support channel.
Permitted use
You may use SmartMaya only for lawful purposes, in accordance with these Terms, applicable documentation, the Acceptable Use Policy, applicable school or employer rules, and applicable laws.
You must not misuse SmartMaya, bypass security controls, exceed plan limits, interfere with service operation, upload unlawful or infringing material, submit data you are not authorized to process, or use the services for harmful, deceptive, abusive, discriminatory, exploitative, or illegal activity.
Authority, statements, and compliance
You may not represent that you speak for, bind, certify, endorse, or make commitments on behalf of WiselyWise, SmartMaya, our customers, partners, schools, or providers unless WiselyWise has expressly authorized you in writing.
You and your representatives must not make false, misleading, deceptive, harmful, or unauthorized statements about WiselyWise, SmartMaya, our services, pricing, capabilities, certifications, partner status, customers, outputs, security, availability, or personnel.
Customers are responsible for complying with laws that apply to their use of SmartMaya, including privacy, education, consumer, marketing, procurement, export-control, sanctions, anti-bribery, employment, sector-specific, and public-sector rules where relevant.
For government, public-sector, school, grant-funded, or procurement-related projects, customers and their representatives are responsible for required approvals, conflicts checks, procurement compliance, discount or rebate disclosures, ethics rules, and any required notices to their own stakeholders.
AI outputs
SmartMaya may generate drafts, summaries, suggestions, classifications, plans, educational materials, business content, or other outputs using AI assistance.
AI outputs may be inaccurate, incomplete, biased, outdated, or unsuitable for your intended use. You are responsible for human review, fact-checking, editing, approval, and lawful use before relying on outputs or sharing them with customers, students, employees, regulators, or third parties.
SmartMaya is not a substitute for legal, financial, tax, medical, HR, compliance, regulatory, educational, or other professional advice.
Customer content and data
You retain ownership of content, prompts, files, data, materials, and outputs that belong to you or your organization, subject to the rights needed for WiselyWise to provide, secure, support, improve, and operate the services.
You grant WiselyWise, its affiliates, service providers, and subprocessors the rights needed to host, process, transmit, display, analyze, modify, and use customer content only as needed to provide, support, secure, troubleshoot, improve, and administer the services, comply with law, and enforce these Terms.
You are responsible for ensuring you have the rights and permissions needed to submit customer content, student data, personal data, third-party materials, logos, files, prompts, integrations, and system access.
Education and student use
Where SmartMaya is used for education, classrooms, student-facing sessions, teacher support, curriculum support, or learning programs, the customer, school, institution, parent, guardian, or authorized adult is responsible for determining suitability, obtaining required permissions, configuring access, and supervising use as required by applicable law and policy.
Student-related data is handled as described in the Children and Student Privacy Notice and applicable customer agreements.
Implementation and professional services
Implementation, onboarding, integration, migration, configuration, consulting, Zoho or business-system work, AI setup, automation, training, and managed services are governed by the applicable proposal, statement of work, order, or signed agreement.
Customer delays, missing access, incomplete information, scope changes, third-party system limits, and approval delays may affect timelines, fees, and deliverables.
Partner products, licenses, and links
WiselyWise may resell, refer, list, recommend, bundle, implement, configure, or support third-party and partner products, licenses, subscriptions, services, marketplaces, discount links, referral links, affiliate links, or partner offers.
Third-party and partner products are governed by the relevant third party's terms, privacy policy, pricing, service levels, renewal, cancellation, refund, support, data-processing, security, and product-change rules unless WiselyWise expressly agrees otherwise in writing.
WiselyWise may receive referral fees, resale margins, commissions, partner incentives, affiliate compensation, discounts, credits, or other commercial benefits from some partner links, partner licenses, referrals, or marketplace purchases. Where required or appropriate, WiselyWise will identify commercial relationships near the relevant link, offer, page, post, video, email, or resource.
Customers are responsible for maintaining their third-party accounts, licenses, billing relationships, administrator access, data, and compliance with partner terms, unless an applicable signed agreement states otherwise.
Fees, billing, and subscriptions
Fees are payable as stated in the applicable checkout, invoice, order form, pricing plan, statement of work, subscription, or signed agreement.
Fees may be recurring, usage-based, milestone-based, project-based, or one-time. You authorize WiselyWise or its payment processors to charge the payment method you provide for applicable fees, taxes, overages, renewals, and approved additional charges.
Unpaid fees may result in suspension, termination, collection action, late fees, or other remedies where allowed by the applicable purchase terms and law.
Subscription term, renewal, cancellation window, refund eligibility, and access after cancellation depend on the checkout, order, invoice, subscription plan, or signed agreement that applies to the purchase.
Unless the applicable purchase terms state otherwise, used, accessed, delivered, customized, implementation, consulting, setup, training, and digital services may be non-refundable to the extent permitted by law.
Good-faith complaints and escalation
Customers must raise complaints, service issues, billing concerns, implementation concerns, data concerns, or product concerns in good faith and with reasonable supporting information, such as the affected account, workspace, service, invoice, date, user, feature, communication, error message, expected result, actual result, screenshots where appropriate, and steps already taken.
WiselyWise may ask for additional information reasonably needed to investigate, reproduce, verify, or resolve the issue. A customer's refusal or failure to provide reasonable information, access, approvals, dependencies, content, data, or cooperation may limit WiselyWise's ability to investigate or resolve the matter and does not by itself excuse payment, delay, acceptance, renewal, or other contractual obligations unless a signed agreement states otherwise.
Customers and their representatives must not make false, misleading, defamatory, harassing, threatening, coercive, or bad-faith allegations about WiselyWise, SmartMaya, our personnel, partners, services, products, outputs, or performance.
Customers must not use public pressure, unauthorized disclosures, threats to reputation, improper chargebacks, regulatory threats, or third-party complaints as a substitute for the agreed support, escalation, dispute-resolution, cancellation, or termination process.
Nothing in this section prevents a customer from raising genuine concerns, making good-faith complaints, cooperating with regulators, exercising non-waivable legal rights, reporting unlawful conduct, or seeking urgent legal remedies where permitted by law.
Support
Unless a plan, proposal, statement of work, or signed agreement states otherwise, support is provided by electronic communication on Singapore business days from 9:00 am to 5:00 pm Singapore time, excluding Singapore holidays, with commercially reasonable efforts to respond within three business days.
WiselyWise may suspend or terminate access for abusive conduct toward support staff, employees, contractors, partners, or users.
Beta services and changes
Some features, agents, labs, workflows, integrations, or tools may be beta, experimental, limited, or preview services. Beta services may contain errors, be less secure, change without notice, or be withdrawn.
WiselyWise may modify, suspend, discontinue, replace, or limit services, features, integrations, providers, models, or access where needed for product evolution, security, abuse prevention, non-payment, legal compliance, operational reasons, provider restrictions, safety requirements, authority requests, or platform integrity.
SmartMaya does not guarantee continued access to any specific AI model, model family, provider, provider region, integration, output style, or third-party capability unless a signed agreement expressly states otherwise.
Authority and access restrictions
WiselyWise may restrict, suspend, disable, limit, geo-limit, tenant-limit, replace, or modify access to services, features, providers, models, integrations, accounts, or workflows where required or reasonably needed because of law, court order, regulator direction, government request, law-enforcement request, sanctions or export-control rules, provider requirements, safety restrictions, security risk, abuse investigation, or platform-integrity concern.
WiselyWise will try to scope restrictions narrowly and notify affected customers where practical, unless notice is legally prohibited, unsafe, operationally impractical, or inconsistent with the relevant request, investigation, provider restriction, or security need.
Security and backups
Security is a shared responsibility. You must protect credentials, manage access, configure accounts responsibly, maintain your devices and networks, and avoid uploading unnecessary sensitive data.
WiselyWise may maintain backups or recovery processes, but you remain responsible for retaining separate copies of important customer content, files, exports, records, and business data where applicable.
Intellectual property and feedback
WiselyWise and its licensors retain ownership of SmartMaya, WiselyWise services, software, workflows, designs, documentation, models, templates, systems, improvements, usage-derived diagnostics, and related intellectual property.
You may not reverse engineer, decompile, copy, resell, sublicense, scrape, or misuse SmartMaya except as expressly permitted.
If you provide feedback, ideas, suggestions, bug reports, or improvement requests, WiselyWise may use them without restriction or compensation.
Confidentiality
Each party may receive non-public business, technical, financial, operational, customer, student, or product information from the other party. Each party must use reasonable care to protect confidential information and use it only for the relevant services or agreement, except where disclosure is permitted by the agreement or required by law.
You must not publish or share non-public SmartMaya, WiselyWise, customer, school, student, partner, support, implementation, pricing, roadmap, admin, security, prompt, output, workspace, screenshot, recording, demo, or internal product information without authorization.
Nothing in these Terms is intended to prevent lawful protected disclosures, regulator cooperation, legally required reporting, or good-faith support complaints made through appropriate channels.
Termination
WiselyWise may suspend or terminate access for non-payment, security risk, misuse, legal risk, breach of these Terms, violation of the Acceptable Use Policy, or other reasons permitted by the applicable agreement.
You may request account closure through available product controls or by contacting [email protected], subject to identity, authority, billing, retention, legal, and operational checks.
On termination, access may end and customer content may become unavailable. Certain terms survive termination, including payment obligations, confidentiality, intellectual property, warranty disclaimers, limitation of liability, indemnity, audit, security, and legal compliance terms.
Warranties and disclaimers
Except where a signed agreement expressly states otherwise, SmartMaya and related WiselyWise services are provided on an "as is" and "as available" basis to the maximum extent permitted by law.
WiselyWise does not warrant that services will be uninterrupted, error-free, virus-free, secure against every threat, or that outputs, results, integrations, learning outcomes, implementation outcomes, or business outcomes will meet every expectation.
Indemnity
You agree to defend, indemnify, and hold harmless WiselyWise, its affiliates, officers, employees, contractors, providers, and representatives from claims, losses, damages, liabilities, costs, and expenses arising from your use of the services, customer content, breach of these Terms, violation of law, violation of third-party rights, non-compliance with applicable regulations, or misuse by your users.
Limitation of liability
To the maximum extent permitted by law, WiselyWise is not liable for indirect, incidental, special, consequential, exemplary, punitive, lost profit, lost revenue, lost goodwill, loss of data, business interruption, procurement of substitute services, or similar damages.
Unless a signed agreement states otherwise, WiselyWise's total aggregate liability for claims relating to the affected services is limited to the greater of: (a) 5% of the fees actually paid by the customer to WiselyWise for the affected services during the three months before the event giving rise to the claim; or (b) SGD 100.
This limitation does not apply to liability that cannot be limited under applicable law, including fraud, wilful misconduct, or any liability that law does not permit to be excluded or limited.
For enterprise, implementation, education, or professional-services engagements, the applicable order form, statement of work, or signed agreement may specify a different liability cap.
General
WiselyWise may update these Terms from time to time. Material updates may be communicated by website posting, email, product notification, customer dashboard, or other reasonable channel.
You may not assign your rights or obligations without WiselyWise's prior written consent. WiselyWise may assign its rights or obligations as part of business operations, reorganization, merger, acquisition, sale of assets, or service restructuring.
If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. Headings are for convenience only.
